These Terms of Service (“Terms”) govern your use of copperonyx.com (the “Site”), operated by Copper Onyx, LLC (“Copper Onyx,” “we,” “us,” or “our”), a digital venture studio owned by Sawyer Holdings, LLC. By using the Site, you agree to these Terms. If you do not agree, please do not use the Site.

1. The Site

The Site is provided for general informational purposes — to describe Copper Onyx, its model, and its ventures. Nothing on the Site is an offer or solicitation to buy or sell any security, investment, or product, and nothing here is financial, legal, investment, or other professional advice.

2. Eligibility

You must be at least 16 years old, or the age of majority in your jurisdiction, to use the Site.

3. Intellectual property

The Site and its contents — including text, design, graphics, logos, the Copper Onyx and CopperOnyx marks, and underlying code — are owned by or licensed to Copper Onyx, LLC and are protected by intellectual property laws. You may view and share the Site for personal, non-commercial purposes, but you may not copy, reproduce, modify, distribute, or create derivative works from it without our prior written permission. All rights reserved.

4. Acceptable use

You agree not to:

  • Use the Site for any unlawful, harmful, or fraudulent purpose;
  • Attempt to gain unauthorized access to the Site or its underlying systems;
  • Interfere with or disrupt the Site, including by introducing malware or sending excessive automated requests;
  • Scrape, harvest, or collect data from the Site except as permitted by law;
  • Misrepresent your identity or affiliation.

5. Submissions

If you send us ideas, proposals, feedback, or other materials (including by email or through the Site), you do so voluntarily. Please do not send us confidential or proprietary information that you expect us to keep secret — submissions made through the Site are not received under any obligation of confidentiality. You represent that you have the right to share what you send, and you grant us a non-exclusive, royalty-free license to use your submission for the purpose of responding to and evaluating your inquiry. This does not change the terms of any separate written agreement you may enter into with us.

6. Third-party links & services

The Site may link to third-party websites and rely on third-party services. We do not control and are not responsible for their content, policies, or practices, and accessing them is at your own risk.

7. Disclaimers

The Site is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy. We do not warrant that the Site will be uninterrupted, error-free, or secure, or that any information on it is complete or current.

8. Limitation of liability

To the fullest extent permitted by law, Copper Onyx, LLC, its parent and affiliates, and their respective members, officers, and personnel will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising out of or related to your use of (or inability to use) the Site. Our total liability for any claim relating to the Site will not exceed one hundred U.S. dollars (US$100).

9. Indemnification

You agree to indemnify and hold harmless Copper Onyx, LLC and its affiliates from any claims, damages, or expenses (including reasonable attorneys’ fees) arising from your misuse of the Site or your violation of these Terms.

10. Forward-looking statements

The Site may describe plans, ventures, and goals that are aspirational and subject to change. Such statements are not guarantees of future results.

11. Governing law

These Terms are governed by the laws of the State of Maine and applicable U.S. federal law, without regard to its conflict-of-laws rules. You agree that any dispute relating to the Site or these Terms will be resolved in the state or federal courts located in Maine.

12. Changes to these Terms

We may update these Terms from time to time. The “Last updated” date above reflects the current version, and your continued use of the Site after changes are posted means you accept them.
